Terms of Service

These terms are the agreement between your organisation and us for using Canonopy Decisions: the website, the console, the API and the models we deliver to you. We've tried to write them in plain English. If something is unclear, ask us at [contact email].

1. Who we are and who this covers

Canonopy Decisions is provided by [Company legal name], registered at [registered address] (“Canonopy”, “we”, “us”). “You” means the organisation that creates the workspace. The person who accepts these terms confirms they are allowed to accept them for that organisation.

2. Early access

The service is in early access. Features may change, and some are marked “coming soon” until they're available. There is no service level agreement during early access: see Availability.

3. Your account and API keys

  • You sign in to the console with a one-time link sent to your email, or with an API key.
  • Keep your API keys secret and on your servers. Never put one in a web page or an app that others can download. We store only a fingerprint of each key, so we can't show it to you again.
  • You are responsible for everything done with your workspace and your keys.
  • If you think a key has leaked, rotate or revoke it in the console straight away, and tell us at [contact email] if you think your account was misused.
  • Give us an email address you check. We use it for sign-in links and for important notices about the service and these terms.

4. Pricing, billing and fair use

  • Free trial: 5 days, no card needed. It starts when your workspace trains its first model or makes its first decision, not when you sign up.
  • Flat price: $20 per month per workspace, however many decision models it has. A decision model is one decision you set up in the console (for example “route support tickets”). The subscription pays for improving your models: retraining, new versions, new options and actions, fixes, and the hosted endpoint. Decision models, retraining and decisions are unlimited. Building models from your requests has fair-use limits: up to 5 builds a day, 3 during the free trial and 30 a month with a subscription; a build is a new model or a rule change. There is no per-call bill.
  • Without a subscription (after the trial, or after you cancel and any grace period after a failed payment ends), training, new options, automatic switching of day-one questions and the hosted endpoint pause until you subscribe. Everything else keeps working, including downloading every version you have.
  • Fair use of the hosted endpoint: up to 50 requests per second per API key. Above that, the API answers 429 and you retry. A 429 is never a charge. For more volume, download your model and run it yourself; that is included.
  • Payments are handled by our payment provider, Stripe. Prices exclude taxes unless we say otherwise. [billing cycle, invoicing and tax details]
  • We will give you at least [30] days' notice by email before any price change takes effect for you.
  • Cancelling stops future billing. [Refunds for part-used months: state the policy] Your models are yours to keep: every version made during the trial or while you subscribed can be downloaded at any time, and a downloaded model keeps working offline.

5. Your data

“Your data” means what you or your systems send us: past cases you upload, the states and messages you send for decisions, outcomes you report, and your settings and rules.

  • You own your data. You give us permission to use it only to provide the service to you.
  • Your data is used only for your own models. We never pool it with other customers' data, and we never use it for other customers' models or for our own models, unless you give us written permission.
  • You confirm that you have the rights and permissions needed to send us your data, including any personal data about your own customers or staff, and that you have told those people what the law requires.
  • When your own model is still unsure about a decision, the question may be sent to our backup AI provider, as described in the Privacy Policy. If you connect your own day-one backend (your own key for another AI service), we send decisions to that service on your behalf, under your agreement with it.
  • How long we keep your data and how to delete it is in the Privacy Policy.

6. Your models

  • You own every model we deliver to you, including every version you download, even after you cancel. You may run, copy and keep them wherever you like.
  • The service itself stays ours: the website, the console, the API, our software and the way we make and improve models. Using the service doesn't transfer any of that to you.
  • The runtime package you use to run a downloaded model is licensed under [runtime licence].

7. Decisions you automate

Models can be wrong. Every answer comes with a confidence, and the safety bar holds answers it isn't sure enough about for a person to review instead of acting on them. That lowers risk; it doesn't remove it.

You are responsible for the decisions you automate with the service, for checking that they are right for your situation, and for human review wherever the law requires it. See the Acceptable Use Policy.

8. Availability and changes to the service

We work to keep the hosted service fast and available, but during early access we don't promise any particular uptime and there is no service level agreement. We may need maintenance windows, and we may change or remove features. We'll tell you in advance about changes that materially reduce what you get. A downloaded model keeps working without us.

9. Suspension, cancelling and termination

  • You can cancel at any time in the console or by writing to [contact email].
  • We may suspend or end your access if you seriously break these terms or the Acceptable Use Policy, don't pay, or put the service or other customers at risk. Where we reasonably can, we'll warn you first and give you a chance to fix it.
  • Before your workspace closes you can download your models. After it closes, we delete your data as described in the Privacy Policy. [notice period before closure]
  • Sections 5, 6, 10, 11, 12 and 14 continue to apply after the agreement ends.

10. Confidentiality

We keep your data and anything you tell us that isn't public confidential, and use it only to provide the service to you. Our staff and sub-processors can access it only as needed to run the service and are bound to keep it confidential.

11. Warranty disclaimer

Apart from what these terms say explicitly, the service and the models are provided “as is” and “as available”. To the extent the law allows, we make no other promises, express or implied, including that the service will be uninterrupted or error-free, or that any decision will be correct or fit a particular purpose. 12. Limitation of liability

13. Changes to these terms

We may update these terms. For changes that matter, we'll email you at least [30] days before they take effect and show the date at the top of this page. If you don't agree, you can cancel before the change takes effect. Continuing to use the service after that means you accept the new terms.
